Meadow portal terms of use


1 - Introduction
The following Terms of Use apply to any visitor or user (hereinafter referred to as “You”) of the Meadow Portal located at meadow.global/portal (the “Portal”).

By using the Portal or downloading materials from the Portal, you agree to abide by these Terms of Use. If you do not agree to abide by these Terms of Use and the Privacy Policy, you are prohibited from using or interacting with the Portal.


2 - About the Portal
Meadow offers the Portal to facilitate information sharing with its partners, customers and clients. The Portal is for informational purposes only.


3 - Portal Registration
In creating a user account and using the Portal, you agree:

  1. You have the legal capacity and authority to comply with these Terms of Use;
  2. To provide accurate, current, and complete information about yourself as requested by the Portal registration form, including your Full Name, Job Title, Professional Email Address and Employer (the “Registration Data”); and
  3. To maintain and promptly update the Registration Data to keep it accurate, current, and complete.

If you provide any information that is untrue, inaccurate, not current, or incomplete, or if Meadow suspects that the information you have provided is untrue, inaccurate, not current, or incomplete, Meadow may suspend or terminate your account and refuse any and all current or future use of the Portal at its sole discretion, or any portion thereof.


4 - Portal Credentials
Upon completing the Portal registration process, You will receive a username and password (“Your Credentials”).

You are solely responsible for all activities that are made through Your Credentials and are required to maintain the confidentiality of Your Credentials through commercially reasonable means.

To the extent that you believe that Your Credentials may have been compromised, you agree to:

  1. Immediately inform Meadow of any possible unauthorised use of Your Credentials;
  2. Immediately inform Meadow of any possible breach of your organisation’s security that may compromise the integrity of Your Credentials; and
  3. Log out from your account at the end of every session in which you use the Portal.

Meadow is not liable for any loss, liability, or damage arising from the compromise of, or unauthorised use, of Your Credentials.


5 - Intellectual Property
The Portal and its contents, including but not limited to information, layouts, presentation, documents, and any other information found on the Portal (collectively referred to as “Content”) are protected by worldwide copyright and other intellectual property laws.

You agree to comply with all intellectual property laws worldwide in your use of the Portal. Except as expressly provided herein, Meadow does not grant any express or implied right or license to you under any patents, trademarks, copyrights, trade secrets, or other intellectual property and retains all rights related thereto.


6 - Limited License
Subject to these Terms of Use, Meadow grants you a non-exclusive, non-transferable, indivisible, limited license to access, use, and display the Portal and its Content for your internal business purposes.

Except as set out in this section or elsewhere in these Terms of Use, no part of the Portal or its Content may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

We reserve all rights not expressly granted to You in and to the Portal and its Content.


7 - Restricted Content
Certain pieces of Content hosted on the Portal, including but not limited to technical drawings, CAD files and sensitive commercial information are the proprietary and/or confidential to Meadow This sub-set of Content is collectively referred to as the “Restricted Content”.

Access to the Restricted Content is limited to Portal users that are party to (or subject to, by way of their employment or affiliation with one of Meadow’s partners) a non-disclosure agreement or a license agreement via which Meadow has granted explicit access rights.


8 - Disclaimer
The Portal and its Content are provided “AS IS” without any representation or warranty, express or implied, of any kind, and all warranties are excluded, including, but not limited to, warranties of merchantability, non-infringement, or fitness for any particular purpose.

Some jurisdictions do not allow for the exclusion of implied warranties, so the above exclusions may not apply to you.

The Content may contain inaccuracies and typographical errors. Meadow does not warrant the accuracy or completeness of the Content or the reliability of any advice, opinion, statement, or other information displayed or distributed through the Portal.

You acknowledge that if you rely on any such opinion, advice, statement, memorandum, or information, it shall be at your sole risk.


9 - Changes

9.1 - Terms of Use
Meadow reserves the right, in its sole discretion, to change, modify, add, or remove any portion of these Terms of Use in whole or in part, at any time with or without advance notice.

Changes in these Terms of Use will be effective when notice of such change is posted. Your continued use of the Portal after any changes to these Terms of Use are posted will be considered acceptance of those changes.

9.2 - Portal Content
Meadow reserves the right, in its sole discretion and without obligation, to correct any errors or omissions in any portion of the Portal.

Meadow may make any other changes to the Portal, the Content and products, programs, services, or prices (if any) described in the Portal at any time without notice.

9.3 - Portal Access
Meadow may terminate, change, suspend, or discontinue any aspect of the Portal, including the availability of any features of the Portal, at any time with or without advance notice.

Meadow may restrict your access to parts or all of the Portal with or without advance notice or liability.

Meadow may terminate the authorisation, rights, and license given above.


10 - Indemnity
You agree to indemnify, defend, and hold harmless Meadow, its officers, employees, directors, agents, suppliers, and any other party involved in the development or maintenance of the Portal and its Content from and against any and all claims, suits, damages, costs, and other expenses (including attorneys’ fees) that arise directly or indirectly from your use of the Portal, your use of the Content, your breach of these Terms of Use, or your submissions or postings through the Portal.


11 - Limitations of Liability
In no event shall Meadow be liable to any entity for any direct, indirect, special, consequential, or other damages, including, without limitation, any lost profits, business interruption, loss of information or programs or other data, that are related to the use of, or the inability to use, the Content, materials, and functions of the Portal or any linked website, even if Meadow is expressly advised of the possibility of such damages.


12 - Third Party Websites & Content
The Portal may contain links to websites operated by other entities or third party content that are not under the control of Meadow.

If you use the third party websites or third party content, you may leave the Portal. If you decide to visit any linked website or third party content, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. Meadow makes no warranty, representation, or endorsement of or regarding any linked website or the information appearing thereon or any of the products or services described thereon. Meadow’s inclusion of third party website links or third party content on the Portal does not constitute, and shall not be construed to constitute, Meadow’s endorsement, authorization of, sponsorship of, or relationship with any third party website or third party content.

Furthermore, the inclusion of third party website links or third party content does not constitute, and shall not be construed to constitute, a representation that any linked site is authorised to use any trademark, trade name, logo, or copyright symbol of Meadow.

You agree to defend and hold Meadow harmless from any and all liability that may result from your use or reliance upon third party websites or third party content.


13 - Prohibited Uses
You agree not to use the Portal for any prohibited purpose, including but not limited to:

  1. Using any “deep-link,” “page-scrape,” “robot,” “spider,” or other automatic or automated device, program, algorithm, methodology, or similar or equivalent manual process, to access, acquire, copy, or monitor any portion of the Portal or its Content;
  2. Interrupting or attempting to interrupt the operations of the Portal in any way, or gaining unauthorised access to the Portals features, systems, programs, networks, Content, or other related items that are connected, displayed, or used in connection with the Portal;
  3. Uploading, posting, emailing, or otherwise transmitting any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, libelous, slanderous, vulgar, obscene, invasive of another’s privacy, hateful, racially objectionable, ethically objectionable, or otherwise objectionable;
  4. Impersonating any person or entity, including but not limited to, Meadow, a Meadow official, employee or affiliate, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;
  5. Forging headers or otherwise manipulate identifiers to disguise the origin of any Content transmitted through the Portal;
  6. Transmitting any Content that you do not have a right to transmit under any law or under contractual or fiduciary obligations (e.g., inside information, proprietary and confidential information learned or disclosed as part of an employment relationship or under non-disclosure agreements);
  7. Transmitting any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of Meadow or any other party;
  8. Transmitting (or attempting to transmit) any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment, or to obtain information through unauthorised means;
  9. Intentionally or unintentionally violating any applicable local, state, national, or international laws or regulations, including regulations issued by securities and exchange commissions or other relevant authorities;
  10. Intentionally or unintentionally violating any applicable local, state, national, or international law, including but not limited to, regulations promulgated by any securities and exchanges controls and other authorities, as well as any rules of any security and exchange regulation having the force of law;
  11. Collecting or storing the personal data about other Portal users;
  12. Using the Portal and/or the Content as part of any effort to compete with Meadow.


14 - Cookies
Meadow may use a technology called “cookies,” which help us provide you with a tailored experience. A “cookie” is a set of data that a website server stores on your computer which enables websites to recognise your computer and to store your entries as you move from page to page. Cookies also track how often you visit a specific website from the same computer.


15 - Data Protection
Meadow is committed to protecting personal data of all persons with whom we interact. Meadow has taken both technical and organizational measures to ensure that the personal data Meadow processes is reasonably protected.


16 - Governing Law
The Portal is controlled, operated, and administered by Meadow from its offices in Sweden.

Meadow makes no representation that materials at the Portal are appropriate or available for use at other locations outside the European Union.

Access to the Portal from territories where the Content of the Portal are illegal is prohibited.

If you access the Portal from a location outside the applicable region, you are solely responsible for compliance with all local laws.

These Terms of Use shall be governed by the laws of Sweden.


17 - Entire Agreement
These Terms of Use constitute the entire agreement between Meadow and you with respect to your use of the Portal.

Any cause of action you may have with respect to your use of the Portal must be commenced within one (1) year after the claim or cause of action arises.

If, for any reason, a court of competent jurisdiction finds any provision of these Terms of Use or any portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of these terms and conditions, and the remaining provisions of the Terms of Use shall continue in full force and effect.

There is no joint venture, partnership, employment or agency relationship created between You and Meadow as a result of these Terms of Use or your use of the Portal.

You agree that these Terms of Use will not be construed against Meadow by virtue of having drafted them and hereby waive any and all defences You may have based on the electronic form of these Terms of Use.
